These Terms of Service ("Terms") govern your use of the Koolay platform (the "Service") operated by Koolay Inc. ("Koolay"). By accessing or using the Service you agree to these Terms.
Koolay is a multi-tenant SaaS platform providing nonprofit organizations with tools for donor management, grant discovery, fundraising, event registration, scholarship administration, newsletters, and website hosting.

The nonprofit profile pages at koolay.com/nonprofit/* and related directory features (together, "Directory Pages") publish a combination of (i) public-domain IRS 990 data that Koolay aggregates, cleanses, and enriches and (ii) Koolay's own analysis: health scores, AI-generated mission summaries, funder-match rankings, peer-benchmark selections, and opportunity matching. The underlying IRS data is in the public domain; Koolay's aggregation, ranking, AI-generated text, and database structure are proprietary and protected by copyright, database rights, and trade secret law.
You agree NOT to, without a prior written license from Koolay:
Directory Pages are rate-limited and monitored. Abusive traffic may be blocked without notice; repeated violations may be referred to hosting providers, registrars, or law enforcement. Koolay reserves the right to seek injunctive relief, actual damages, and attorneys' fees for violations.
Licensed access. Researchers, journalists, and platform partners may request a data-use license: [email protected]. Nonprofits wishing to customize their own profile should claim it through signup; a claimed profile grants that nonprofit edit rights and API access to its own record.
If you believe content on a Directory Page infringes your copyright, or if your organization's profile contains factual errors, send a notice to our Copyright Agent at [email protected] including: identification of the copyrighted work, the URL of the allegedly infringing content, your contact information, a good-faith statement, and an electronic signature. We respond within 10 business days per 17 U.S.C. § 512(c). Repeat infringers lose access.
Content you upload ("Customer Data") remains yours. You grant Koolay a limited license to store, process, and transmit Customer Data solely to operate the Service and comply with legal obligations. We do not use Customer Data to train AI models.
You are responsible for: the lawfulness of collecting and processing Customer Data; obtaining necessary consents from end users; honoring data-subject requests (we provide the tooling).
Subscription fees are billed in advance, monthly or annually. Fees are in US dollars and non-refundable (see Section 6). Taxes are your responsibility where applicable.
All fees are non-refundable, including for partial billing periods after cancellation. You may cancel at any time; your account remains active through the end of the paid period.
You may terminate at any time from Admin → Settings. We may suspend or terminate for: breach of these Terms; non-payment (after 14-day grace + notice); legal/regulatory requirements; prolonged inactivity (≥ 24 months, after 30-day notice).
On termination, Customer Data is retained for 90 days (or deleted immediately on your request) and then permanently purged.
We target 99.5% monthly uptime. Status: koolay.com/status. No SLA credits on self-serve plans. Enterprise can negotiate.
The Service is provided "AS IS" and "AS AVAILABLE". We disclaim all warranties to the maximum extent permitted by law. We do not warrant that AI-generated output is accurate or suitable — always review AI output before use.
To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify Koolay against any claim arising from your Customer Data, your misuse of the Service, or your breach of these Terms.
Material changes take effect 30 days after notice to admin email. Continued use constitutes acceptance.
Laws of the State of Delaware, USA, excluding conflict-of-laws rules. Disputes resolved in state or federal courts in Delaware.
